Thomas G. Caldwell Mr. Thomas G. Caldwell has been the Chief Executive Officer and President of Middlefield Banc Corp. since October 2000. Mr. Caldwell serves as the President and Chief Executive Officer of The Middlefield Banking Company. He served as the President and Chief Executive Officer of Emerald Bank. He served as Vice President of Middlefield until October 2000. Mr. Caldwell has been a Director of Middlefield Banc Corp., since 1997. He serves as a Director of Middlefield Banking Company. He served as a Director of Emerald Bank since 2007.

Mr. Donald L. Stacy has been the Chief Financial Officer and Treasurer of Middlefield Banc Corp. since October 30, 2000. Mr. Stacy joined Middlefield Bank in August 1999 and serves as its Senior Vice President and Chief Financial Officer. He served as Chief Financial Officer of Emerald Bank, a subsidiary of Middlefield Banc Corp. He previously served for 20 years at Security Dollar Bank and Security Financial Corp. in Niles, Ohio, where Mr. Stacy served as Senior Vice President and Treasurer.

James R. Heslop II Mr. James R. Heslop II, also known as Jim, is Executive Vice President and Chief Operating Officer of Middlefield Banking Company (the “Bank”). Mr. Heslop became Executive Vice President and Chief Operating Officer of Middlefield Banc Corp. (the “Company”) in October 30, 2000. He became a Director of the Middlefield Banking Company in July 1999 and a Director of the Middlefield Banc Corp in November 19, 2001. He is also the Vice President and Secretary and a Director of EMORECO, Inc. From July 1993 until joining the Bank in April 1996, Mr. Heslop was a Director, President, and Chief Executive Officer of First County Bank in Chardon, Ohio. Mr. Heslop earned a B.S. in Business Administration from Wheeling College, an M.B.A. from Tiffin University, and is a graduate of the Graduate School of Banking at the University of Wisconsin-Madison.

Carolyn J. Turk Ms. Carolyn J. Turk, CPA serves as the Chief Financial Officer/Treasurer of Molded Fiber Glass Companies. Ms. Turk served as a Controller of Molded Fiber Glass Company. She has been the Chairman of Middlefield Banc Corp. and its subsidiary Middlefield Banking Company since May 21, 2013. She has been an Independent Director of Middlefield Banc Corp., since 2004 and Middlefield Banking Company since 2003. Ms. Turk is a licensed Certified Public Accountant. Ms. Turk earned a B.S. in Accountancy from Youngstown State University in 1983.

Thomas W. Bevan Mr. Thomas W. Bevan, also known as Tom, serves as Director at Middlefield Banc Corp. since January 12, 2017. He is a founding shareholder and CEO of Bevan & Associates, LPA, Inc. in Boston Heights, Ohio. Mr. Bevan has been licensed to practice law in the State of Ohio since 1991. He has also been admitted to practice before the U. S. District Court, Northern District of Ohio and the United States Supreme Court. Mr. Bevan is a member of the Ohio State Bar Association, a member and Foundation Fellow of the Akron Bar Association, a member and Governing Trustee of the Ohio Association for Justice and a member of the Public Justice Foundation. He was a Member of the Board of Directors of Liberty Bank, N. A. from 2011 until 2017.

From July 1993 until joining the Bank in April 1996, Mr. Heslop was a Director, President, and Chief Executive Officer of First County Bank in Chardon, Ohio. Mr. Heslop earned a B.S. in Business Administration from Wheeling College, an M.B.A. from Tiffin University, and is a graduate of the Graduate School of Banking at the University of Wisconsin-Madison.

Eric W. Hummel Mr. Eric W. Hummel serves as the President of Hummel Construction Company, Ravenna, Ohio, a position he has held since 1971. Mr. Hummel has been a Director of Middlefield Banc Corp., since 2011. He serves as a Director of Middlefield Banking Company. He serves as a Member of the Portage Foundation Board of Trustees, Greater Portage Area Visiting Nurses Association Board, Kent State University Architecture School Foundation, Leadership Portage County Board and Habitat for Humanity. Mr. Hummel attended the Kent State University School of Architecture and the University of Wisconsin College of Engineering.

Kenneth E. Jones Mr. Kenneth E. Jones, also known as Ken, serves as the President of Chesapeake Financial Advisors. Mr. Jones actively invests and offers financial consulting for private companies. Mr. Jones is self-employed Financial Consultant and Advisor. He served as Vice President and Chief Financial Officer of Photonic Integration Research Inc., an advanced fiber optic components manufacturer from 1993 to 2001 and served at Battelle Memorial Institute from 1986 to 1993 in business development positions. Mr. Jones served in several senior management positions at ABB Process Automation, Inc. (formerly AccuRay Corp.), including international business experience as President of AccuRay Japan Ltd., and served as a Manager of Emerging Business Services for PricewaterhouseCoopers. Mr. Jones joined Applied Innovation Inc. Board with an impressive background in high technology companies. Mr. Jones serves as the Chairman of Emerald Bank. He has been an Independent Director of Middlefield Banc Corp. since January 2, 2008. Mr. Jones served as a Director of Applied Innovation Inc. since February 11, 2005 and Emerald Bank since 2004. Mr. Jones earned a B.S. in Nuclear Engineering from the University of Virginia in 1970 and an M.B.A. from the University of Virginia in 1972. He is a non-practicing Certified Public Accountant.

Darryl E. Mast Mr. Darryl E. Mast serves as Vice President Operations for Hattie Larlham. Mr. Mast joined the Hattie Larlham organization in 2004 and provides medical, residential, educational, vocational and recreational programs for children and adults with developmental disabilities. He has been a Director of The Middlefield Banking Company since December 16, 2011. He has been a Director of Middlefield Banc Corp., since May 15, 2013. He served as an Executive Officer of Second Bancorp Inc. Mr. Mast also served as Senior Vice President of Second National, a subsidiary of Second Bancorp Inc. since 1986. He was responsible for the administration of 33 retail banking centers, private banking, consumer lending and electronic banking. Mr. Mast holds or has held community leadership positions with the advisory board of Kent State University Trumbull Campus, Rotary Club of Warren and the Warren Area Chamber of Commerce Economic Development Foundation. Additional community service has been with Shepherd of the Valley Lutheran Retirement Services, Inc., Trumbull County Chapter of the American Red Cross, Trumbull County Career Development Advisory Committee and the Greater Western Reserve Council of the Boy Scouts of America.

James J. McCaskey Mr. James J. McCaskey serves as Director at Middlefield Banc Corp. He is the President of McCaskey Landscape & Design, LLC, a design-build landscape development company. Mr. McCaskey is also a past member of the Board of Directors and past President of the Ohio Landscape Association. Previously, he was Vice President of Sales for the Pattie Group, also a design-build landscape development company, with which he had been employed for seventeen years. Mr. McCaskey also serves on the Advisory Board of Kent State University (Geauga), was President of the Chardon Rotary for the term July 2014 through June 2015, and, beginning January 2014, serves as Munson Township Trustee. Mr. McCaskey earned a Bachelor’s Degree in Agricultural Production and a Bachelor’s Degree in Biology from Wilmington College in 1985.

Clayton W. Rose III Mr. Clayton W. Rose, III, C.P.A., serves as an Executive Principal in the Dublin, Ohio office of Rea & Associates Inc. Mr. Rose is an active in the Dublin community with involvement in Kiwanis, the Dublin Convention and Visitors Bureau, the Dublin Irish Festival and the Ohio State University Alumni Society. Mr. Rose served as a Director of Emerald Bank when it merged into The Middlefield Banking Company on January 20, 2014. Mr. Rose has been a Director of Middlefield Banc Corp. since 2016. His Business and Accounting experience allow him to provide accounting and financial management expertise to the board. He is a licensed Certified Public Accountant. Mr. Rose earned a B.S. from The Ohio State University in 1974.

William J. Skidmore Mr. William J. Skidmore, also known as Bill, serves as Director at Middlefield Banc Corp. He is Northeast Ohio Senior District Manager of Waste Management and has held progressively responsible positions with Waste Management and a predecessor company since 1978. He previously served on the Board of Directors of both First County Bank in Chardon, Ohio, and of Metropolitan National Bank in Youngstown, Ohio. He is a Member and was the past President of the Chardon Rotary, a former President of the Chardon Chamber of Commerce, a former Member of the business advisory committee of Kent State University (Geauga), and a past Representative to the Board of the National Solid Waste Management Association in Washington, D. C. Mr. Skidmore earned a Bachelor’s Degree in Sales and Marketing from Bowling Green State University in 1978.

Robert W. Toth Mr. Robert W. Toth, also known as Bob, has been an Independent Director of Middlefield Banc Corp. since 2009 and serves as its Director of Middlefield Banking Company. Mr. Toth retired in 2007 as the President and Chief Financial Officer of Gold Key Processing, Ltd., headquartered in Middlefield. Mr. Toth served as Vice President of Finance and Administration of Burton Rubber Processing, Inc. He began his career with Amsted Industries in Chicago. He has held progressively responsible positions with Warner and Swasey Co. and Missouri Portland Cement Co. He has a long record of community service and serves on the Financial Advisory Board of the DDC Clinic for Special Needs Children in Middlefield. He serves as a Director of Middlefield Banking Company. Mr. Toth is a graduate of the Ohio University with a B.B.A. in accounting.

William A. Valerian Mr. William A. Valerian, also known as Bill, has been the Chairman and Chief Executive Officer of Liberty Bank, National Association since July 2003 and since 2004 respectively and also serves as its President. Mr. Valerian served as Chairman of the Board, Chief Executive Officer and President of Haverfield Corporation since 1996. He served as President and Chief Executive Officer of Haverfield Corp. and Home Bank, F.S.B. since May, 1990. He served as Chief Operating Officer and Chief Loan Officer (CLO) of Home Bank and Chief Operating Officer of Haverfield Corporation. Prior to Home Bank, Mr. Valerian served in various capacities for Third Federal Savings and Loan. He joined Home Bank, F.S.B. in February 1978. He has been a veteran of the banking industry since 1969. He has been Director of Liberty Bank, National Association since 2001. He has been a Director of The Middlefield Banking Company and Middlefield Banc Corp. since January 12, 2017. Mr. Valerian served as Director of Haverfield Corporation since 1989 and also served as Director of Home Bank, F.S.B. (the 'Bank'), a subsidiary of Haverfield Corp. Mr. Valerian served as a Director of Mortgage Consulting at Smythe Cramer Realty's HMAC and served as the President of Charter One Investor Services, a subsidiary of Charter One Financial, Inc. He served as a Director of the Muldoon Center for Entrepreneurship at John Carroll University until December 31, 2001. He is a well-respected, dedicated volunteer. Mr. Valerian holds leadership positions with: Cleveland Institute of Art; Julie Billiart School; Alta House Neighborhood Center; and First Suburbs Consortium Development Council. Mr. Valerian has a long history of civic involvement and served as Chairman of the Convention and Visitors Bureau of Greater Cleveland, Member of the Steering Committee of Civic Vision 2000, Trustee of Notre Dame College, National Chairman of the Institute of Financial Education, Trustee of the former Child Guidance Center (now Applewood Centers) and Board Member of St. Ignatius High School. Mr. Valerian is a graduate of Marquette University and Leadership Cleveland.
